  1. LEGALLY BINDING AGREEMENT

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer”, “User”, or “You”) and Hoodes Farms (“Company”, “We”, “Us”, or “Our”), governing your access to and use of our website, products, services, poultry sales, consultancy, and training programs.

By accessing our website, placing an order, engaging our services, or interacting with Hoodes Farms in any manner, you agree to be bound by these Terms.

If you do not agree, you must immediately discontinue use of our services.

 

  1. BUSINESS NATURE

Hoodes Farms is an agribusiness engaged in, but not limited to:

  • Poultry farming and production
  • Sale of live poultry (broilers, layers, cockerels)
  • Sale of day-old chicks
  • Sale of fresh eggs
  • Sale of processed poultry products
  • Poultry feed supply
  • Poultry equipment supply
  • Poultry farm setup consultancy
  • Poultry training and educational services
  • Agribusiness advisory services

 

  1. ELIGIBILITY

You may only use our services if:

  • You are at least 18 years old; and
  • You have the legal authority to enter into binding agreements under Nigerian law.

If you are acting on behalf of a business, you confirm you have authority to bind that entity.

 

  1. PRODUCT SALES TERMS

4.1 Nature of Agricultural Products

You acknowledge that poultry and agricultural products are biological in nature and may be affected by factors beyond our control, including but not limited to:

  • Environmental conditions
  • Transportation stress
  • Customer handling practices
  • Biosecurity exposure
  • Feeding and management practices

 

4.2 No Guarantee After Delivery

Once poultry, chicks, eggs, or farm products leave Hoodes Farms’ control, we are not liable for:

  • Mortality
  • Disease outbreak
  • Production performance
  • Growth rate
  • Egg production levels
  • Financial loss

Responsibility transfers fully to the customer upon delivery or pickup.

 

4.3 Inspection Requirement

Customers must inspect products immediately upon delivery or pickup.

Any complaint must be reported within 24 hours of receipt.

Failure to report within this timeframe constitutes acceptance of goods in satisfactory condition.

 

4.4 Pricing

All prices are listed in Nigerian Naira (₦) unless otherwise stated.

We reserve the right to:

  • Change prices without prior notice
  • Correct pricing errors
  • Modify product offerings

 

  1. PAYMENT TERMS

5.1 Accepted Payment Methods

  • Bank transfer

We do not guarantee exact delivery times.

 

6.2 Transfer of Risk

Ownership and risk transfer to the customer immediately upon:

  • Delivery; or
  • Pickup from our farm; or
  • Transfer to a third-party transport provider

 

6.3 Third-Party Transporters

Where customers arrange third-party transportation, Hoodes Farms bears no responsibility for losses occurring during transit.

 

  1. NO RETURNS POLICY FOR LIVE PRODUCTS

Due to the nature of live poultry and perishable agricultural products:

The following items are strictly non-returnable:

  • Live chickens
  • Day-old chicks
  • Eggs
  • Processed poultry products

Exceptions apply only where Hoodes Farms provides written approval.

 

  1. REFUND POLICY

Refunds will only be considered where:

  • Wrong product was supplied; or
  • Verified error was caused solely by Hoodes Farms

Refunds will NOT be granted for:

  • Mortality after delivery
  • Poor farm management
  • Customer negligence
  • Environmental factors
  • Disease outbreak after delivery

Refund decisions remain at the sole discretion of Hoodes Farms.

 

  1. CONSULTANCY SERVICES DISCLAIMER

Consultancy services are advisory in nature.

Hoodes Farms does not guarantee:

  • Farm profitability
  • Production output
  • Bird survival rates
  • Business success

Outcomes depend on customer implementation, management, and external factors.

 

  1. TRAINING SERVICES TERMS

Training provided by Hoodes Farms is for educational purposes only.

We do not guarantee:

  • Specific financial results
  • Farm production performance
  • Business success

All implementation risks remain with the customer.

Training fees are non-refundable once training has commenced.

 

  1. LIMITATION OF LIABILITY

To the fullest extent permitted under Nigerian law, Hoodes Farms shall not be liable for:

  • Indirect damages
  • Incidental damages
  • Consequential damages
  • Loss of profits
  • Loss of business
  • Mortality of poultry after delivery
  • Disease outbreak after delivery

Our maximum liability shall not exceed the amount paid for the specific product or service.

 

  1. FORCE MAJEURE

Hoodes Farms shall not be liable for failure or delay caused by events beyond reasonable control, including:

  • Disease outbreaks
  • Epidemics or pandemics
  • Natural disasters
  • Floods
  • Fire
  • Government restrictions
  • Civil unrest
  • Transportation disruptions

 

  1. WEBSITE USE TERMS

You agree not to:

  • Use the website for unlawful purposes
  • Attempt to hack or disrupt the website
  • Copy or reproduce content without permission
  • Submit false information

Violation may result in legal action.

Where unresolved, disputes shall be settled under Nigerian law.
